UVMARC Constitution

The name of this organization is United Veterans of Maine Amateur Radio Club. It shall be abbreviated with the FCC as United Veterans of Maine ARC (UVMARC). It shall be our purpose to further the exchange of information and cooperation between members, to promote radio knowledge, fraternalism and individual operating efficiency. Additionally, our purpose will be to conduct club programs and activities as to advance the general interest and welfare of Amateur Radio in northern Maine with a focus on our nation’s Armed Forces veterans.

The United Veterans of Maine ARC will strive to maintain the integrity, honesty and selfless service that comes with amateur radio by setting a standard that is unprecedented to the region. A very important objective is to provide amateur radio license training, license examinations and continued education to individuals residing anywhere within the State of Maine.

Article I. Membership
Membership shall be open to any person who actively supports UVMARC’s purpose as set forth in this document. We reserve the right to decline membership to anyone the board deems to not represent the goals and mission of this organization. All interested members shall complete an application for membership and the Board of Directors reserves the right to establish policies that protect the aforementioned mission and principles outlined in the Preamble.

An application to join UVMARC may be submitted at any regular meeting and membership would be granted pending a two thirds vote of the Board of Directors. If your application is denied, a letter explaining the reason(s) must be sent by regular postal mail and signed with an original ink signature by the President and Vice-President within ten (10) calendar days of a decision being rendered on your application.

Article II. Officers
    Sec. 1. The officers of this club shall be President, Vice-President, Secretary, Treasurer and Public Affairs Officer. Each officer holds a term of two years in their respective position. Resignation of membership may be given at any time, however must be done in writing with an original ink signature.
    Sec. 2. The positions of President and Vice-President, if permanently vacated, shall be filled through a nomination and vote of the membership.
    Sec. 3. The Treasurer shall be appointed by the President and Vice-President.
    Sec. 4. A member shall be designated as the Amateur Radio License Trustee. The Trustee shall establish and maintain an Amateur Radio Club Station for the use of the licensed members of UVMARC and other licensed radio amateurs, and shall carry out the duties designated by the Federal Communications Commission for the trustee of this station.

    In the event that the trustee can no longer perform the duties of Trustee, he shall designate another member in good standing who holds an amateur license to apply to the FCC to succeed him as trustee. The President shall submit concurrence in the selection of this new Trustee in writing.
    Sec. 5. Each officer position shall be held by one person. If there is an officer position that can not be filled, it must remain vacant until such a time comes to fill the position. Nominations for a vacant position can be presented at any regular meeting.

Article III. Duties of Officers
    Sec. 1. The President shall preside at all meetings, and conduct them according to the rules adopted. He/she shall enforce due observance of this Constitution and By-Laws; decide all questions of order; sign all official documents adopted by the club, and perform all other duties pertaining to the office of President. Meeting minutes of UVMARC are maintained by the President at his/her discretion.
    Sec. 2. The Vice-President shall assume all the duties of the President in his/her absence.
    Sec. 3. The Treasurer shall account for all monies paid to the club.
    Sec. 4. The Directors shall provide additional guidance on decisions to be made directly pertaining to the club in any manner possible. They shall additionally provide assistance in emergency field operations at the express direction of the club President or Vice President in the event we are called into service by means of providing critical communications.
    Sec. 5. The Secretary shall provide the needed support in taking meeting notes, minutes and also be responsible for the assistance of other clerical activities as necessary to support activities for UVMARC.
    Sec. 6. The Public Affairs Officer shall be responsible for the administration of announcements directly relating to UVMARC’s activities. They shall answer questions from the general public relating to anything that affects the organization or interaction with public senior officials.

Article IV. Meetings
All meetings of UVMARC shall be informal and may be called at the discretion of at least two officers. Such meetings may take place in person, over amateur radio or through other electronic communication means. Robert's Rules shall govern proceedings.

Article V. Dues
UVMARC shall collect membership dues with the express and explicit purpose of furthering our organization’s purpose in the amateur radio service. This would include, but not be limited to, the purchase of repeater equipment, club station equipment and accessories that allow the organization to fulfill its mission in the amateur radio service. Any additional functions that shall require finances will be solicited through monetary donation to the organization.

Article VI. Amendments
The constitution or By-Laws may be amended by a two-thirds vote of the total membership. Proposals for amendments shall be submitted in writing at a regular meeting and shall be voted on at the next following regular meeting, provided all members have been notified at least one month in advance by mail or email of the intent to amend the constitution and/or By-Laws at said meeting.
